Terms and Conditions relating to Seller Account Deletion
A. Deletion of Seller Account
1. These terms and conditions (“Terms and Conditions”) shall apply in respect of the deletion of the seller account (“Seller Account”) on the Seller Centre (including the Lazada University).
2. Each Seller Account is associated with a single owner account (“Owner Account”) and one or more authorized users (“Authorised User Account”) whose roles are designated by the holder of the Owner Account.
3. For the deletion and removal of an Authorised User Account (other than an Owner Account) or modification of the access rights associated with an Authorised User Account, please notify the Owner Account holder of the Seller Account, who can then process the deletion or modification within the Seller Center.
4. The Terms and Conditions shall be read in conjunction with the (i) EULA available at https://m.sellercenter.lazada.com.my/m/legal; (ii) the Terms of Service (Seller) available at https://mcusercontent.com/36659deee9c1181b080e2013d/files/5139dafd-b197-c8c2-47b2-fc2bda84e99c/_Legal_MY_Terms_of_Service_Seller_revised_Oct_2021_.pdf or the Seller Agreement available at https://university.lazada.com/course/learn?spm=a1zawe.15023480.one_step_register.2.16734edfkeoilp&id=250&type=article&login=skip for cross-border Sellers (as the case may be) (referred to collectively as the “Marketplace Agreement”) entered into between yourself and one of Lazada’s affiliate entities; and (iii) any rules or policies located https://sellercenter.lazada.com.my , each as amended from time to time.
5. All capitalized terms used but not defined herein shall have the meaning given to them in the Marketplace Agreement.
6. To the extent of that any provisions in these Terms and Conditions conflict with, are ambiguous when read together with, or are otherwise inconsistent with any other provisions in the EULA, the Marketplace Agreement and any other rules or Policies, these Terms and Condition herein shall prevail. All other provisions in the EULA, the Marketplace Agreement and any other rules or Policies which are not inconsistent with these Terms and Conditions shall remain in full force and effect and are hereby ratified.
B. Account Deletion Requirements
7. Only the holder of the Owner Account for each Seller Account shall be able to initiate the request for the deletion of the Seller Account (“Deletion Request”).
8.1. the Seller Account is in good standing and is not the subject of any ongoing investigations, customer complaints, penalties or allegations for violation of our terms of use and/or applicable laws and regulations;
8.2. a Deletion Request can only be made after a minimum of 40 calendar days from the last delivered Order on the Platform by the Seller Account, and there must not be any ongoing or outstanding transactions for the Seller Account (including any Orders, returns, or refunds under processing);
8.3. all payment obligations and outstanding liabilities between Lazada and the Seller are fully and finally settled, i.e. such that Lazada shall have remitted to the Seller all Sales Proceeds, and the Seller shall have settled all Fees, Commission and any other amounts due and payable to Lazada and/or our affiliates; and
8.4. any other criteria that Lazada may notify you from time to time.
9. Lazada has the right, exercisable at its sole discretion, to waive obligation for you to comply with any or all of the requirements set out in Clause 8 above.
10. An acknowledgment will be sent to the email address associated with the Seller Account upon the successful submission of a Deletion Request.
11. Upon the successful submission of a Deletion Request, our customer service officer will be in touch on the registered phone number and/or email address within two (2) working days to verify the Deletion Request and to assist you on the deletion.
12. Please note that we may in certain cases request for additional confirmation or documentation to process the Deletion Request. Until you receive an acknowledgement that the deletion of the Seller Account is completed, the Seller Account remains in operation on the Platform and all Store(s) owned and/or operated by the Seller Account remain live on the Platform. If you wish to ensure that no new orders are accepted by the Store(s) during such period, we recommend you to turn on “Holiday Mode” to close your Store(s).
13. Subject to the satisfaction (or waiver by Lazada, as the case may be) of the requirements set out in these Terms and Conditions, it will take approximately ten (10) working days or such other time as notified by Lazada in accordance with the Terms of Service (Seller) and/or Lazada’s Policies from the date of submission of the Deletion Request for the deletion of the Seller Account to be completed.
14. An acknowledgment will be sent to the email address associated with the Seller Account upon completion of Deletion Request.
15. Lazada reserves the right to reject any Deletion Request submitted through the Seller Centre Application which does not satisfy the requirements in this “Section B – Account Deletion Requirements” without any liabilities or responsibilities. The requirements in this section are without prejudice the rights of the Seller to terminate the Marketplace Agreement, Logistic Services Agreement, the LSS Terms and Conditions and/or any other Services or Tools provided by Lazada in connection with the Seller Account in accordance with their respective terms.
16. By submitting a Deletion Request, you agree and acknowledge that all contractual relationships between you and Lazada and/or its affiliates in relation to the Seller Account and the Services and Tools provided in connection with the Seller Account, including but not limited to the Marketplace Agreement and the Logistics Services Agreement will be terminated. To the extent that there is any notice requirement for such termination which is inconsistent with these Terms and Conditions, you agree to waive the requirements under such agreements in respect of a Deletion Request submitted and processed in accordance with these Terms and Conditions.
C. Consequences of Account Deletion
17. Please note that the Seller Account deletion is permanent and irreversible. When the Seller Account has been successfully deleted, amongst others:
17.1. the Seller Account and all associated Authorised User Accounts shall be deactivated, and you and other holders of the Authorised User Accounts will no longer be able to log into the Seller Account;
17.2. you will no longer be able to access any Services, Tools or information associated with the deleted Seller Account via the Seller Center and/or the Platform.
Accordingly, you will no longer be able to file a request on the Seller Centre or the Platform for any claims, assistance, or any disputes which may arise from any transactions completed on your Seller Account and/or perform any other operations whatsoever which require access to the Seller Account.
You are recommended to: (a) withdraw or use up all funds (including Net Proceeds) in the Seller Account; and (b) back up any resource or data which you would like to keep from such Seller Account before proceeding with the deletion.

17.3. all Stores(s) owned and/or operated by the Seller Account on the Platform, all information relating to the Store(s) (including but not limited to all reviews, ratings, communications and comments associated with your Store(s)) and all Product listings submitted to the Platform under the Seller Account will be automatically removed from public display on the Platform. For the avoidance of doubt, Lazada may continue to make use of all user generated contents in accordance with the Terms of Service For Lazada Livestreaming and User Generated Content;
17.4. all relevant contractual relationship between you and Lazada and/or its affiliates in relation to the Seller Account and the Services and/or Tools provided thereunder, including but not limited to Marketplace Agreement, Logistic Services Agreement and the terms and condition for the Lazada Sponsored Solutions (LSS) (as applicable) will be effectively terminated in accordance with these Terms and Conditions and the respective terms of use for the Services; and
17.5. except with Lazada’s approval (which may be withheld at Lazada’s sole discretion), you will not be able to use the same credentials (such as phone number, email address or Store name) to register for a new Seller Account or Store on the Platform.
18. To the extent that the same user credentials are also associated with a Lazada User Account as a buyer, this Deletion Request will not affect your use of the Lazada User Account as a buyer.
19. The deletion of your Seller Account shall not: (a) affect any rights or obligations pursuant to any agreement that you have entered into with Lazada (and/or its affiliates) which may have accrued to either party before the effective date of the termination of such agreement (including without limitation, the Marketplace Agreement, and the Logistics Services Agreement), or (b) deprive either party from any rights under such agreement which are intended to survive its termination.
20. Notwithstanding the deletion of the Seller Account, you will remain responsible for the fulfillment of any pending Order and outstanding liabilities, and Lazada (or its designated providers) will fulfil any pending payment obligations. Lazada shall have the discretion whether to complete or cancel any pending Services (provided by Lazada or its designated providers), and you shall remain liable to pay any fees in connection with Services that are completed in accordance with the relevant terms and conditions under which such Services are provided.
21. All Personal Data disclosed to us will be handled, stored and processed according to our Privacy Policy available at <https://www.lazada.com.my/privacy-policy/, the Marketplace Agreement and all applicable laws and regulations. After the Seller Account is deleted, we and/or our affiliates retain certain personal data and/or other data relating to the Seller Account (and each Authorised User Account) for as long as is necessary for the purposes set out therein and as required by all applicable laws and regulations.
D. General
22. Any clause in these Terms and Conditions and other terms and conditions as may be agreed to or accepted by you that is invalid, unenforceable or illegal shall be enforced as nearly as possible per its terms but shall otherwise be deemed severed and shall not affect the enforceability of any other clauses, which clauses shall continue to be valid and enforceable to the fullest extent permitted by law.
23. The rights and protections conferred on Lazada and/or our affiliates under these Terms and Conditions shall be additional to the rights and protections conferred on Lazada and/or our affiliates under the Marketplace Agreement, the Policies, Privacy Policy as well as such other terms and conditions as may be agreed to or accepted by you. The failure by Lazada to exercise its rights shall not operate as a waiver of our rights nor shall any single or partial exercise of any such right preclude any other or further exercise thereof.
24. Lazada may amend, revise, update or modify these Terms and Conditions at any time (“Changes”). Changes will be effective when posted on the Platform with no other notices provided and you are deemed to have agreed to the Changes upon their publication on the Platform and/or upon your continued use of the Platform.
25. These Terms and Conditions shall be governed by and construed under Malaysian law.
26. Any dispute, controversy or claim arising out of or relating to this contract or the breach, termination or invalidity thereof shall be settled by arbitration Asian International Arbitration Center (“AIAC”) for final resolution through arbitration in accordance with the Arbitration Rules of the AIAC for the time being in force, which rules are deemed to be incorporated by reference in this Agreement. The arbitration tribunal shall consist of one (1) arbitrator, who shall be appointed by the arties by mutual agreement. In the event that the Parties are unable to reach an agreement thereon, the arbitrator shall be appointed by the then Director of the AIAC, whose decision shall be final and binding on the Parties. The arbitration shall be conducted in English. The seat of arbitration shall be Malaysia. Any award by the arbitration tribunal shall be final and binding upon the parties.
